Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 19, 2019, in connection with Michael Vasconcelles, M.D.s resignation from his position as Chief Medical Officer of Unum Therapeutics Inc. (the Company), the Company entered into a consulting agreement (the Consulting Agreement) with Dr. Vasconcelles, pursuant to which he will serve as a consultant to the Company for a two-year term.
Under the Consulting Agreement, Dr. Vasconcelles will receive a stock option to purchase 100,000 shares of the Companys common stock under the Companys 2018 Stock Option and Incentive Plan (the Options). The Options shall have a ten-year term and will vest in equal quarterly installments, over two years.
The Consulting Agreement also requires Dr. Vasconcelles compliance with certain restrictive covenants, including an inventions assignment, retention agreement, and confidentiality agreement.
